3. Payments & Invoicing

All services are quoted and invoiced based on the scope of work. Payment terms are specified in the project agreement. Late payments may result in suspension or delay of services. Some services may require an upfront deposit.

4. Intellectual Property

All original code, designs, and deliverables remain the property of Jilasoft Technologies Company Ltd until full payment is received. Upon full payment, ownership of deliverables is transferred to the client unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without written consent. This includes proprietary business information, designs, source code, and client data.

6. Limitation of Liability

Jilasoft shall not be held liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our services, including loss of data, profits, or business opportunities.

7. Termination

We reserve the right to terminate a project or service if there is a breach of these terms, including non-payment or misuse of deliverables. Clients may also terminate projects with written notice, subject to applicable fees for work completed.

8. Third-Party Services

Our services may integrate third-party tools (e.g., APIs, plugins, hosting platforms). We are not responsible for the availability, security, or performance of these third-party services.

9. Modifications to Terms

We may update these Terms periodically. Continued use of our services constitutes acceptance of any revised terms. Please check this page for updates.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to conflict of law principles.
